CREATIVE NEWTECH : ACQUIRES 100% STAKE IN ZICOM SAAS FOR RS 50.50 CR

• Board approved acquisition of 100% equity share capital of Zicom SaaS Private Limited from its holding company, Onyx SaaS Private Limited • Total consideration approximately ₹50.50 Cr (enterprise value), comprising ₹25.00 Cr cash and about ₹25.50 Cr via share swap • Share swap through preferential issue of 2,25,000 equity shares at ₹1,133.33 per share; EGM on 28 November 2026 to seek shareholder approval • Zicom runs a Security-as-a-Service model with 24x7 centralised monitoring, AI-enabled surveillance, ATM active deterrence and virtual security guard; MYCS serves over 4,500 housing societies across 800+ cities • Deal is expected to shift Creative Newtech from distribution-led model to integrated surveillance and managed security services with recurring revenue and larger institutional projects
