• Company executed share purchase agreement dated November 4, 2026 to sell entire 50% equity holding in associate Agrotech Risk Private Limited • Sale covers 3,523,800 equity shares, representing 50% of Agrotech's equity share capital • Aggregate consideration under the SPA is ₹10 L; buyer is Smt. Madhulika Jain (DIN: 00437683), a director and promoter of the company • Transaction is a related-party deal approved by members as a material RPT at the 38th AGM on September 30, 2026 • Agrotech contributed nil to company's FY2025-26 turnover/income; carrying value of investment was nil as of March 31, 2026 • Sale is intended to facilitate restructuring of Agrotech's shareholding; completion subject to statutory and share-transfer formalities
