• NCLT Bengaluru bench sanctioned scheme of arrangement between NH Integrated Care (wholly owned subsidiary) and Narayana Hrudayalaya • Clinical Services undertaking comprising 9 clinics in Bengaluru and 1 clinic in Hosur to be demerged into the company on a going-concern basis • Appointed date April 1, 2025; no shares to be issued as consideration since the demerged company is a wholly owned subsidiary • No change in share capital or shareholding pattern of the company • Scheme effective on the last of dates when certified copy of the order is filed by both companies with the Registrar of Companies
