BRIGADE : WOS TO ISSUE NCDS TO IFC UNDER INVESTMENT FRAMEWORK

• Brigade Enterprises signed an Investment Framework Agreement with International Finance Corporation (IFC) • Company and IFC agreed to invest in eligible middle income housing projects • Wholly owned subsidiary Venusta Ventures proposes to issue unsecured, rated, redeemable rupee-denominated NCDs to IFC in one or more tranches • NCDs proposed to be listed on BSE wholesale debt market segment • Purpose includes investment in construction and development of eligible residential projects, including a project by Venusta Ventures • IFC gets customary lender rights, including right to appoint a director in Venusta and restrict change in capital structure
