• Received final tranche payment for 51% equity consideration held in associate NXT-Infra MCP Highways and transferred shares to NXT-Infra Trust • Shareholding in NXT Infra MCP reduced to nil; company ceases to be an associate • Total consideration for sale/disposal ~₹339.38 Cr • Buyer NXT-Infra Trust is a SEBI-registered InvIT and does not belong to promoter/promoter group • NXT Infra MCP did not contribute to turnover/revenue/income; proportionate net worth share was ₹27.94 Cr as at March 31, 2026 • Transaction completed on November 05, 2026 under the Securities Subscription and Purchase Agreement dated June 09, 2022
