INNOVATORS : TO ACQUIRE 51.03% STAKE IN INNOVATORS CONTRACTING WORKS FOR RS 11.22 CR

• Board approved in-principle acquisition of 51.03% equity share capital of Innovators Contracting Works Private Limited (ICWPL) from a promoter-group individual • Total consideration ₹11.22 Cr, to be discharged via fresh equity shares on a share-swap basis • Company currently holds 48.97% of ICWPL through wholly owned subsidiary Innovators Engineering Works Private Limited • Post acquisition, the company and its WOS will hold full ownership, making ICWPL a wholly owned subsidiary • Transaction is subject to shareholder approval; EGM set for 25 November 2026 and no impact on current half-year results
