ADANIENT : ADANICONNEX JV ACQUIRES VIZAG MEGA DATA CENTER PARK WORTH OVER RS 1085 CR

• AdaniConneX (ACX), a joint venture of Adani Enterprises, signed an SPA on November 5, 2026 with Vizag Mega Data Center Park Ltd (VMDCPL) and seller Adani Infra (India) Ltd • 100% equity stake in VMDCPL acquired for a purchase consideration of ₹1,085.51 Cr, payable as cash consideration against shares • Target owns a sizeable land parcel and has secured key licenses to commence infrastructure activities, giving ACX a head start • Target incorporated in India on February 3, 2026; turnover nil and yet to commence commercial activities • Transaction on arm's length basis and not a related party transaction for the Company; target is controlled by promoter/promoter group • Acquisition expected to be completed by November 10, 2026; no governmental or regulatory approvals required
