• Company acquired a further 20% of paid-up share capital of Cosmix Wellness, raising aggregate stake from 60% to 80% • Aggregate cash consideration of ₹113.65 Cr; acquisition completed on November 6, 2026 • Cosmix Wellness is a Bengaluru-based digital-first functional wellness brand in health and wellness • Target turnover: ₹91.53 Cr in FY26, ₹47.25 Cr in FY25 and ₹24.32 Cr in FY24; last 3-month ARR above ₹170 Cr • Company has right to acquire remaining stake after completion of FY29, subject to milestones and approvals • Transaction is a related party transaction on an arm's length basis; no promoter group interest
