ASTERDM : CONVERTS RS 10.11 CR LOAN INTO SRI SAINATHA EQUITY

• Board approved conversion of pre-existing loan of ₹102.46 Cr extended to Sri Sainatha Multispeciality Hospitals (wholly owned subsidiary) into equity shares • Sri Sainatha to issue 10,24,62,779 equity shares of face value ₹10 each to the company • Consideration other than cash; conversion based on valuation report from Krol Advisory, completion within 3 months • No change in shareholding or control; company continues to hold 100% of Sri Sainatha, no fresh infusion of funds • Sri Sainatha turnover: ₹79.43 Cr (FY26), ₹74.74 Cr (FY25), ₹59.55 Cr (FY24); healthcare business, incorporated 24 May 2007 • Board also approved termination of O&M Agreement and Medical Services Agreement with DM Education and Research Foundation, ending operations under those pacts that contributed 0.40% of group revenue
