PAKKA : NCLT SANCTIONS AMALGAMATION OF WHOLLY OWNED SUBSIDIARY

• NCLT Allahabad Bench sanctioned the scheme of amalgamation of Pakka Impact Limited (formerly Yash Skills Limited) with Pakka Limited vide order dated 3 November 2026 • Appointed date fixed at 1 April 2026, modified by the Tribunal from the proposed 1 April 2025 • No new shares to be issued; equity shares of Pakka Impact held by Pakka stand cancelled, so issued capital and shareholding pattern remain unchanged • Pakka Impact to stand dissolved without winding up after the certified order is filed with the Registrar of Companies within 30 days • All property, liabilities, employees and pending legal and tax proceedings of the subsidiary transfer to Pakka Limited Impact: Neutral (simplifies group structure by merging a wholly owned subsidiary with no dilution, cash consideration or change in shareholding)
