SEJAL GLASS : ACQUIRES MAGNUMTUFF GLASS BUSINESS WORTH OVER RS 40 CR

• Board approved proposed Business Transfer Agreement with Magnumtuff India to acquire its Architectural Glass and Automotive Glass business undertaking on a going-concern basis via slump sale • Aggregate lump-sum consideration of ₹40.80 Cr including purchase of the associated factory land and building • Undertaking includes manufacturing facilities, business assets, inventory, intellectual property, technical know-how, customer and vendor relationships, contracts and employees • Target undertaking reported operating revenue of ₹36.20 Cr in FY26 • Facility at Nainglaj Village, Chikodi Taluka, Belgaum District, Karnataka; takes manufacturing footprint to four facilities in India and targets Southern Maharashtra, Northern Karnataka and Goa markets • Expected completion on or before November 30, 2026, subject to required transaction formalities
