• Alkem Pharma Company, a limited liability company, incorporated in the Kingdom of Saudi Arabia on 8 November 2026 • Alkem subscribes 38,250 shares of SAR 100 each, totalling SAR 3,825,000, representing 51% of the JV's share capital • JV capital of SAR 7,500,000 divided into 75,000 shares of SAR 100 each; consideration is cash • Entity will manufacture, import, market and distribute pharmaceutical and nutraceutical products within Saudi Arabia • Stated as a strategic investment to expand Alkem's business and market reach into the Kingdom of Saudi Arabia
